By engaging in our services, you agree to be bound by these terms. If you do not agree to these terms, you must discontinue the use of our services.
2. Eligibility and Acceptance of Terms
By agreeing to these Terms, you acknowledge that you are authorized to act on behalf of your business and that you have provided accurate and complete information.
We reserve the right to modify these Terms at any time without prior notice. Any modifications will be effective upon posting to our website. Your continued use of our services constitutes acceptance of these modifications.
3. Services Overview
PieAccounting LLC provides a range of financial services to small businesses and entrepreneurs, including but not limited to:
Bookkeeping Services: We assist in recording financial transactions for your business based on the information you provide.
Tax Preparation Services: Our team helps prepare and file your business tax returns.
Financial Education: We offer education and training on managing your business finances, helping with budgeting, tax planning, and cash flow analysis.
Our services do not include legal or audit services unless otherwise explicitly agreed upon. We also do not guarantee specific financial outcomes or offer assurances on tax refunds or credits. Our services are limited to those expressly outlined in these Terms and Conditions and any applicable Statement of Work. For clarity, we do not provide legal or audit services, investment advice, or any guarantees of specific financial outcomes, tax refunds, or credits.
4. Client Responsibilities
a. Provision of Accurate Information
You are responsible for providing accurate, complete, and up-to-date financial information, including bank statements, receipts, transaction details, and other relevant documents. PieAccounting LLC relies on the information you provide to render its services. We will not verify or audit the data you provide unless specifically requested. Any errors or omissions in the information provided may lead to delays or inaccuracies in the services we provide.
b. Cooperation
You agree to cooperate with our team in a timely and efficient manner, including responding to information requests. You are expected to:
Provide all monthly bank and credit card statements;
Notify us of any significant changes, such as opening new accounts, acquiring loans, or selling assets;
Timely review and approve the financial reports we provide. If any discrepancies are identified, you must notify us promptly to make corrections.
Failure to provide timely and accurate information may result in the delay of services and could lead to disengagement from services without further notice.
c. Non-Commingling of Funds
You must keep personal and business financials separate at all times. The commingling of personal and business accounts or expenses can lead to errors and may prevent us from delivering accurate financial services. PieAccounting LLC is not responsible for errors that arise from the mixing of funds.
d. Right to Access and Amend Information
You have the right to access the personal and financial data we hold on your behalf. If you identify any errors in your data, you may request to correct or amend it. If you wish to remove certain data, you may request that we delete it, subject to any legal obligations requiring us to retain it for a specific period (e.g., for tax purposes).
5. Bookkeeping Services Disclaimer
The education, training, recommendations, and reports provided by PieAccounting LLC as part of the bookkeeping services are based solely on the information provided by you or integrated from your third-party systems. We do not audit or otherwise verify the information you submit, and we are not responsible for discovering errors, fraud, or other irregularities in your financial data.
By using our bookkeeping services, you acknowledge that any inaccuracies or omissions in the information you provide may impact the quality of our services, and we cannot be held liable for any resulting issues.
6. Tax Services
PieAccounting LLC provides business tax preparation services based on the financial information and documents you supply. Our tax services are limited to the preparation and filing of federal and state business income tax returns unless specified otherwise in a separate statement of work.
a. Scope of Services
Our tax services do not cover the following unless otherwise explicitly agreed upon:
Local, sales, use, franchise, excise, or gross receipts (B&O) taxes;
Payroll tax filings;
Tax audit representation;
Multi-state tax filing services beyond your primary state of operation.
b. Client Indemnification
You agree to indemnify, defend, and hold PieAccounting LLC harmless from any liabilities, damages, penalties, or legal fees arising from inaccuracies or omissions in the tax information you provide. We will not be responsible for any penalties or interest resulting from late or inaccurate filings caused by delays or incomplete information on your part.
7. Data Security and Protection
PieAccounting LLC takes the protection of your data seriously. We implement industry-standard security measures, including encryption and secure servers, to protect your data from unauthorized access, disclosure, or destruction. We comply with applicable data protection regulations, such as the General Data Protection Regulation (GDPR) and California Consumer Privacy Act (CCPA). However, no security system is completely infallible, and we cannot guarantee the absolute security of your data.
8. Data Retention
PieAccounting LLC will retain your financial data for as long as necessary to provide services and comply with our legal obligations. After the termination of services, we will retain your data for a minimum of 7 years, unless otherwise required by law. After this period, we will securely delete or anonymize your data. While we implement industry-standard security measures to protect your data, no security system is completely infallible. We cannot guarantee the absolute security of your data and will not be liable for unauthorized access, disclosure, or destruction of data that results from circumstances beyond our reasonable control, such as hacking, cyberattacks, or other third-party breaches.
Tax preparers are required to keep returns for three years after the filing date or the return due date (including extensions),

Keep records for 3 years if situations (4), (5), and (6) below do not apply to you.

Keep records for 6 years if you do not report income that you should report, and it is more than 25% of the gross income shown on your return.
Keep records indefinitely if you do not file a return.
Keep records indefinitely if you file a fraudulent return.
Keep employment tax records for at least 4 years after the date that the tax becomes due or is paid, whichever is later
9. Third-Party Services and Software
PieAccounting LLC may use third-party software or platforms (such as cloud accounting software) to deliver services. By using our services, you consent to the integration of such third-party systems where necessary. While we ensure that all third-party providers adhere to appropriate security and privacy standards, PieAccounting LLC is not responsible for any data breaches or service disruptions caused by third-party software providers.
10. Compliance with Legal Standards
PieAccounting LLC complies with the Generally Accepted Accounting Principles (GAAP) and the applicable laws governing financial and tax reporting. Our services are delivered in adherence to ethical standards set by the accounting industry, and we will not engage in any illegal or unethical practices on behalf of clients.
11. Service Modifications and Termination
PieAccounting LLC or the client may terminate the engagement at any time with written notice. Upon termination, all services will cease immediately, and you will be billed for any services provided up to the termination date. We also reserve the right to disengage or refuse services if legal issues, conflicts of interest, or ethical concerns arise.
12. Record Ownership
You retain ownership of all financial records and data that you provide to PieAccounting LLC. However, any work product created by PieAccounting LLC (such as financial reports or tax returns) remains the property of PieAccounting LLC until full payment is received.
13. Force Majeure
PieAccounting LLC will not be liable for any delays or failures to perform services due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, or technical disruptions. In such events, we will make every effort to resume services as soon as possible.
14. Limitation of Liability
To the fullest extent permitted by law, PieAccounting LLC shall not be held liable for any indirect, incidental, or consequential damages, including but not limited to loss of profit, data, or revenue, resulting from your use of our services or any breach of these Terms. In any event, our liability for any claim arising from the provision of services will be limited to the amount of fees you have paid to us in the preceding six months.
15. Refund Policy
All monies paid are non-refundable. However, if you are dissatisfied with our services, please contact us to discuss your concerns. We are committed to working with you to address any issues and reach a mutually agreeable resolution.
16. Dispute Resolution
If any dispute arises between you and PieAccounting LLC, both parties agree to first attempt to resolve the dispute through informal discussions. If these discussions do not resolve the issue within [Number] days, the parties will submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will be held in Florida, and the arbitration costs shall be borne equally by both parties. Each party shall be responsible for its own attorneys' fees at the onset of arbitration, any further arrangement with fees would be determined in arbitration.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of the state of FL, without regard to its conflict of law principles.
